GENERAL TERMS OF PURCHASE
Note: for convenience, these Terms of Purchase are translated into English. In case of litigation, the Italian text has legal value.
1. Acceptance Formula
All supplies and related services are purchased and/or requested by confirmation for acceptance which will be in writing by email or fax.
2. Delivery Terms
The terms of delivery of the Products are those agreed upon in the commercial agreement.
3. Methods of delivery
Unless specifically agreed otherwise, the products are delivered at the Buyer's plant and travel at the Supplier's risk with reference to the Incoterms in force unless otherwise agreed by the parties.It is specified that in the event of delay in delivery - attributed to gross negligence and/or wilful misconduct of the Supplier party - the Buyer may not only withdraw from the contract but may also claim compensation for all damages - suffered and to be suffered - by reason of the delay in delivery.
4. Payment
Payments for the purchased products will be made in the same manner as provided for payment in the general conditions of sale.
5. Defects in the delivered goods
Any report of defects and/or flaws must be made by the Buyer to the Seller in writing within 8 days of receipt of the Products (accurately listing the flaws, attaching documentation, including photographic documentation where possible); in the event of hidden flaws, however, the same report must be made within 8 days of discovery of the flaws and/or hidden defects.
6. Arbitration clause
All disputes arising from this contract shall be settled by arbitration according to the Rules of the Vicenza Camera Arbitrale. The Tribunale Arbitrale will consist of a panel of three arbitrators, two of whom shall be appointed, each, by each party, the third, acting as Chairman, by mutual agreement of the two arbitrators or, in the absence of agreement, by the Vicenza Camera Arbitrale.
